These Terms and Conditions (“Terms”) govern access to and use of BrightWork Learn, a free, publicly available online learning and enablement platform operated by BrightWork (the “Learn Service”).
By accessing or using the Learn Service, you agree to be bound by these Terms.
1. Definitions and Interpretation
In these Terms:
· User means any individual who accesses or uses the Learn Service.
· Learn Content means all materials made available through the Learn Service, including training modules, videos, documentation, learning paths, webinars (live or recorded), assessments, certificates, badges, templates, and related content.
· Credential means a certificate, badge, or other record of completion issued by BrightWork in connection with the Learn Service.
· Third‑Party Platform means any third‑party learning management system or technology used by BrightWork to deliver the Learn Service.
Headings are for convenience only and do not affect interpretation.
2. Nature of the Learn Service
2.1 BrightWork Learn is an education, training, and enablement service designed to support general understanding of BrightWork products, methodologies, templates, and best‑practice approaches.
2.2 BrightWork Learn is not a software‑as‑a‑service (SaaS) offering and does not constitute a hosted operational platform, workflow engine, or business system. No availability, uptime, or service‑level commitments apply.
2.3 The Learn Service is provided free of charge and is publicly accessible. BrightWork may restrict access to specific content, features, or programmes at its discretion.
2.4 BrightWork may modify, update, replace, suspend, or discontinue any part of the Learn Service or Learn Content at any time, including learning paths and certification programmes.
3. Eligibility and Access
3.1 The Learn Service is intended for individuals aged 18 years or older.
3.2 BrightWork may require Users to create an account to access certain Learn Content or features.
3.3 BrightWork reserves the right, at its discretion, to restrict, suspend, or terminate access to the Learn Service by any User.
4. Accounts and Security
4.1 Where account registration is required, Users must provide accurate and complete information and keep such information up to date.
4.2 Users are responsible for maintaining the confidentiality of their login credentials and for all activity carried out under their account.
4.3 BrightWork may suspend or disable any account where it reasonably suspects unauthorised access, security risk, or breach of these Terms.
5. Licence and Permitted Use
5.1 Subject to these Terms, BrightWork grants Users a limited, non‑exclusive, non‑transferable, revocable licence to access and use the Learn Service and Learn Content solely for personal learning, educational, and professional development purposes.
5.2 Users must not:
· copy, reproduce, distribute, publish, sell, license, rent, or commercially exploit Learn Content;
· create derivative works from Learn Content;
· scrape, data‑mine, or systematically extract Learn Content;
· remove or alter proprietary notices or branding;
· use the Learn Service for any unlawful purpose.
6. Intellectual Property
6.1 All intellectual property rights in the Learn Service and Learn Content are and shall remain vested in BrightWork and/or its licensors.
6.2 No ownership rights are transferred under these Terms. All rights not expressly granted are reserved by BrightWork.
7. User Submissions
7.1 Where the Learn Service permits Users to submit content (including questions, comments, or assignments) (“Submissions”), Users grant BrightWork a worldwide, royalty‑free, non‑exclusive licence (including the right to sublicense to service providers) to host, use, reproduce, display, and create derivative works of such Submissions solely for the operation, security, support, and improvement of the Learn Service.
7.2 Users warrant that their Submissions:
· do not infringe any third‑party intellectual property or other rights; and
· comply with applicable law and these Terms.
8. Credentials, Certifications and Assessments
8.1 The Learn Service may include assessments, learning paths, and certification programmes.
8.2 Any Credential:
· evidences completion of Learn Service activities only;
· does not constitute a professional qualification, licence, or accreditation; and
· does not guarantee competence, expertise, or any business outcome.
8.3 BrightWork may modify, suspend, withdraw, or revoke any Credential or certification programme at its discretion, including where misuse or misrepresentation is suspected.
8.4 Users must not misrepresent Credentials or imply endorsement by BrightWork beyond their stated scope.
9. Acceptable Use and Conduct
9.1 Users must not:
· upload or transmit unlawful, abusive, defamatory, or harmful material;
· impersonate others or misrepresent affiliation;
· introduce malware or interfere with the Learn Service;
· use the Learn Service for spam or unauthorised communications.
9.2 BrightWork may take enforcement action, including suspension or termination of access, where it reasonably believes these Terms have been breached.
10. Third‑Party Platforms and External Links
10.1 The Learn Service may be delivered through a Third‑Party Platform. BrightWork does not control, and is not responsible for, the availability, performance, or security of any Third‑Party Platform.
10.2 Learn Content may include links to third‑party websites or resources. BrightWork is not responsible for third‑party content, availability, or practices.
11. Privacy and Data Protection
11.1 BrightWork processes personal data in accordance with its Privacy Statement and applicable data protection law.
11.2 By using the Learn Service, Users acknowledge that BrightWork acts as a data controller in respect of personal data processed in connection with the Learn Service.
12. Disclaimers
12.1 The Learn Service and Learn Content are provided “as is” and “as available”.
12.2 BrightWork makes no warranty that:
· Learn Content is complete, accurate, or error‑free;
· any particular learning outcome will be achieved; or
· Credentials will be recognised by third parties.
12.3 Learn Content is provided for educational and informational purposes only and does not constitute professional, legal, financial, or operational advice.
13. Indemnity
13.1 Users agree to indemnify and hold harmless BrightWork, its officers, employees, contractors, and affiliates from and against all claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or in connection with:
· the User’s breach of these Terms;
· any Submissions made by the User; or
· misuse or misrepresentation of the Learn Service or any Credential.
14. Suspension and Termination
14.1 BrightWork may suspend or terminate User access immediately where:
· these Terms are breached;
· misuse or fraud is suspected;
· BrightWork is required to do so by law; or
· continued access poses a security or reputational risk.
14.2 Upon termination, all licences granted under these Terms cease immediately.
15. Limitation of Liability
15.1 Nothing in these Terms excludes or limits liability that cannot be excluded or limited by law.
15.2 To the maximum extent permitted by law, BrightWork shall not be liable for any indirect or consequential loss, loss of profit, loss of revenue, loss of goodwill, or reliance on Learn Content or Credentials.
15.3 To the maximum extent permitted by law, BrightWork’s total aggregate liability arising out of or in connection with the Learn Service shall not exceed one hundred euro (€100).
16. Changes to the Learn Service and These Terms
16.1 BrightWork may amend these Terms at any time. Updated Terms take effect upon posting on the BrightWork Learn website. Continued use constitutes acceptance.
16.2 BrightWork may modify or discontinue Learn Content, learning paths, or certification programmes at its discretion.
17. General
17.1 Severability: If any provision is held invalid or unenforceable, the remainder shall remain in full force and effect.
17.2 No waiver: Failure to enforce any right shall not constitute a waiver.
17.3 Third‑party rights: These Terms confer no rights on any third party.
18. Governing Law and Jurisdiction
These Terms and any non‑contractual obligations arising out of or in connection with them are governed by the laws of the Republic of Ireland, and the courts of Ireland shall have exclusive jurisdiction.
